1. Definition of Contract
1.1 These terms of sale apply to all goods sold and supplied by Lightsource Studio, a trading name of Lightsource Mallorca SL.
1.2 References to "the supplier", "our", "us" or "we" will be limited to Lightsource Mallorca SL, whose registered address is:

1.3 When "the customer" is mentioned, this refers exclusively to you, your company or any individual purchasing lighting items and related accessories from us .
1.4 When "the goods" is mentioned, this refers exclusively to lighting merchandise and any related accessories (including, but not limited to: lamps/bulbs, transformers and packaging) provided by us.
1.5 This agreement incorporates the customer's entitlement to cancel (see section 6.0).
1.6 We retain the authority to modify these sale terms and conditions without prior notification to you regarding subsequent transactions.
2. Terms of Sale
2.1 A binding agreement for the purchase of merchandise does not come into effect between us and the customer until the customer's order has been acknowledged, confirmed by us and full payment has been cleared. A legally enforceable agreement between both parties will only exist once all these prerequisites have been satisfied.
2.2 Product descriptions and pricing for ordered merchandise will match those displayed on our website at the moment the order was submitted, unless a different price has been specifically quoted through direct correspondence.
2.3 Every offer remains conditional upon inventory availability.
2.4 Size details provided on the website serve as an estimated reference. We accept no responsibility for any expenses or losses sustained due to the use of our merchandise.
2.5 Products acquired from us must be installed by a trained and/or experienced professional. Should the merchandise develop a defect or sustain damage resulting from improper installation, the customer's guarantee will become invalid.
3. Delivery of goods
3.1 Merchandise ordered will be dispatched to the delivery address indicated when submitting your order.
3.2 On receiving the merchandise, the customer must inspect for damage and/or missing items. The customer must provide notification of any loss or damage within 48 hours of receipt. Any subsequent warranty claims may be impacted if this requirement is not met. Our delivery service providers record the delivery date and time.
3.3 Compensation for merchandise damage reported beyond 48 hours from delivery will be at management's discretion. We will need evidence from you demonstrating that merchandise was damaged prior to receipt. (See our returns policy below.)
3.4 We endeavour to dispatch merchandise to the customer within the stated delivery timeframe. In circumstances beyond our control where we cannot dispatch the merchandise within the agreed delivery period, we will:
3.4.1 Notify the customer promptly by email, stating the expected revised delivery date; or
3.4.2 Propose a substitute product of equivalent value or provide complete reimbursement for all monies paid.
3.5 Should the customer intentionally refuse to accept delivery of the merchandise, we retain the right to pass to the customer any additional expenses resulting from re-selling or warehousing the merchandise until final delivery, or resale to an alternative customer.
4. Payment for goods
4.1 Pricing is shown, by default, including IVA (Impuesto sobre el Valor Añadido) / VAT and shipping fees. All prices are displayed in EUR (Euros).
4.2 Merchandise will not be dispatched until full payment has been cleared; except where pre-arranged with us, and commercial and billing arrangements have been fully established. For website orders, payment is collected immediately and in full when the shopping basket is finalised and the order is confirmed.
4.3 The purchase price and value-added tax must be settled according to the payment terms specified on the invoice. Timely payment is critical. Should the customer fail to settle any invoices by the due date, we may, without affecting any of our other entitlements, be enabled to:
4.3.1 Halt or terminate dispatch of any additional merchandise.
4.4 We accept payment through the following methods:
Through this website. Through bank transfer. Through credit or debit card using a dedicated web payment link.
4.5 The customer may not withhold payments through set-off or counterclaim that the customer may have or claim to have for any reason without proper legal documentation.
4.6 Shipping charges for domestic and international orders are calculated at checkout and displayed before purchase. In exceptional circumstances where actual shipping costs significantly exceed the quoted amount (for example, due to remote locations or special handling requirements), we reserve the right to contact you before processing the order. If additional charges are required beyond the amount shown at checkout, we will request your explicit approval before proceeding. Should you choose not to accept any additional charge, you may cancel the order for a full refund of your payment. This applies to both public and trade accounts.
5. Payment and Data Security
5.1 We provide complete security assurance by handling all website orders through Shopify, which secures your payment information.
5.2 We are dedicated to safeguarding our customers' privacy. Information collected will only be utilised legally (in compliance with the GDPR and Spanish Ley Orgánica de Protección de Datos (LOPD-GDD)).
6. Cancellation and Returns Policy
6.1 In accordance with EU Directive 2011/83/EU on consumer rights and Spanish Royal Decree-Law 1/2007 (Ley General para la Defensa de los Consumidores y Usuarios), the customer retains the entitlement to withdraw from the agreement without giving any reason within 14 days, starting the day following receipt of the merchandise. The merchandise must be sent back in their initial state, and should they have been installed or altered, the reimbursement may be adjusted to account for any reduction in value.
This exclusion applies to merchandise that has been produced specifically for you, for instance unwanted custom-made fittings such as lampshades, wall lights, pendants or chandeliers are non-returnable.
6.2 Cancellations or returns must be communicated to us in written form to the address specified in section 1.2, or by email to our customer support department.
6.3 Where the agreement is terminated after the merchandise has been sent, the customer will be responsible for sending the merchandise back to us at the customer's own expense, unless the merchandise is defective or not as described, in which case we will bear the return costs.
6.4 All merchandise must be sent back by the customer using the original packaging and in a condition suitable for resale within 14 days of informing us of the decision to return the merchandise. Any expenses we incur during the process of retrieving merchandise which the customer neglected to return, will be invoiced directly to the customer.
6.5 Where we agree to accept any merchandise for return beyond a customer's legal entitlements, the customer will be required to pay a restocking fee of 30% of the invoice value. These merchandise must be sent back by the customer using the original packaging, and paid for by the customer. Any reimbursements owed will be finalised within 14 days from when we receive the merchandise.
6.6 All merchandise must be sent back to the address specified in section 1.2. The customer has a 'duty of care' to guarantee that the merchandise are not harmed during transportation.
6.7 Bespoke products or personalised products (e.g. change of height) are not returnable. For products where this applies it will be specified on the product page. Our standard returns policy is not applicable.
7. Our right to cancel
7.1 Should circumstances beyond our control occur, including, but not limited to, an inability or failure by our manufacturers or suppliers to provide the merchandise to us, preventing us from providing the merchandise to the customer, we retain the authority to terminate the agreement at any point prior to merchandise delivery by providing notification to the customer. We will immediately refund the customer any monies paid in connection with our agreement.
7.2 We will not be responsible for any additional loss or damage resulting from such cancellation described above.
8. Warranty
8.1 All merchandise, (excluding lamps/bulbs) provided by us are sold with a commercial warranty covering defects for a period of up to 12 months from the supply date. In addition, you benefit from the legal guarantee under Spanish consumer protection law (Royal Decree-Law 1/2007), which provides protection against defects for a period of 2 years from delivery. Any manufacturer's guarantee terms and after-sales support will match those detailed on the website or contained within documentation provided with the merchandise.
8.2 All merchandise sent back to us as defective will be examined on arrival and provided the merchandise have been sent back as specified in our returns policy (section 6.0), you may receive reimbursement for shipping expenses incurred. Merchandise must be sent back to the address specified in section 1.2.
8.3 Should the merchandise provided to the customer develop a fault while covered by warranty, or should you have a separate grievance regarding the merchandise, the customer must contact us in writing to the address specified in section 1.2 or by email to our customer support department. Merchandise will be fixed or exchanged based on the type of defect.
8.4 Where we examine the merchandise and determine them not to be defective or their state is such that we cannot accept their return, we will return the merchandise to the customer. The customer agrees to reimburse us for the expense of returning the merchandise.
8.5 Merchandise must be sent back following required standards (as specified in section 6.0).
8.6 This warranty becomes invalid if it is determined that the merchandise have been improperly installed or experienced misuse in a way not intended for the specified purpose.
9. Installation / Fitting
9.1 You must guarantee that any installation/fitting of fixed lighting acquired from us must be performed by a licensed electrician.
9.2 Failure to have fixed lighting installed/fitted by a licensed electrician will void your warranty and may contravene the current building regulations.
10. Trade Customers
10.1 As a trade customer you have consented to our B2B terms, and accordingly returns will incur a minimum restocking fee of 25%, dependent upon manufacturer. You must contact us within 3 days of receiving the merchandise and we will commence a returns authorisation process.
11. Limitation of Liability
11.1 In no circumstances will we be accountable for any expenses related to any extra charges resulting from factors including, but not limited to, delayed, damaged, or incorrect dispatch of merchandise.
11.2 Our liability will be restricted to the purchase price paid for the merchandise.
12. Copyright Notice
12.1 All material in any format present on our website(s) is the copyright of its respective owner(s) and legal proceedings may be pursued if any individual(s) or company is discovered using the material on our sites without explicit prior authorisation.
13. Jurisdiction
13.1 These terms and conditions will be interpreted by and applied in accordance with the laws of Spain, and any disagreements concerning these terms and conditions will fall under the exclusive jurisdiction of the courts of Mallorca, Spain.
14. Online Dispute Resolution
14.1 If you are a consumer resident in the European Union, you may submit complaints through the EU's Online Dispute Resolution platform available at https://ec.europa.eu/consumers/odr/. We are not obligated to participate in alternative dispute resolution procedures but are committed to resolving complaints amicably.
